EasyJet Cuts Holding as Warning Against Aircraft Orders

EasyJet Plc (EZJ) founder Stelios Haji- Ioannou reduced his holding in the low-cost U.K. airline and threatened a further cutback in the stake should the company seek new airplanes in five years.

Haji-Ioannou family members sold a total 600,000 shares last week, cutting their combined stake in the Luton, England- based airline to just under 37 percent, the entrepreneur, who goes by his first name, said in an e-mailed statement today. EasyJet should refrain from buying more airliners and focus on increasing profitability, he said.
“If the board places another order for aircraft, it will destroy shareholder value into the future,” Stelios said. “Instead of ordering new aircraft, EasyJet should aim for a 10 percent profit margin” compared with 7 percent currently.

Stelios, EasyJet’s biggest shareholder, has criticized investor returns and argued for more than four years that the carrier should resist expansion amid economic turmoil in Europe. EasyJet’s fleet of 217 Airbus A319 and A320 planes is “too big for the winter season,” and the models are largely “brand new” and don’t need to be replaced, he said today.

Anne Knowles, an EasyJet spokeswoman, declined by phone to comment on Stelios’s statement.

EasyJet to firm up three A320 options

EasyJet plans to firm up options on three Airbus A320s just days after the airline’s founder warned against further fleet expansion.
The UK budget carrier has confirmed that “commercial evaluation and discussions” for a next generation aircraft order are “well underway,” with deliveries scheduled to begin after 2017.
However, in the interim, it is considering firming the three options. “To allow the time necessary to achieve the optimal commercial outcome, easyJet may consider converting options for three A320 aircraft under the terms of its existing framework agreement with Airbus,” the airline said in a statement.
These optioned aircraft would arrive in time for the summer 2014 program. However, easyJet added that its proposed fleet strategy for 2015-2017 and beyond have not been finalized because shareholders have not yet agreed to the plans.
On Monday, easyJet founder and board member Stelios Haji-Ioannou announced he had sold 200,000 shares to warn management against further aircraft purchases, arguing such a move would destroy shareholder value. Haji-Ioannou has run a vocal campaign along these lines since 2008.
Apparently responding to these concerns, easyJet CEO Carolyn McCall said a new next generation aircraft order would give the airline a cost advantage and help retain its leading position at Europe’s primary airports, replacing existing aircraft due for retirement.
She described planned capacity increases of 3% to 5% as “prudent” and in line with easyJet’s policy of sustainable growth and returns. In the quarter ended Dec. 31 2012, the airline added 5% capacity, taking it to a total of 56 Airbus A320s and 157 A319s. First-half capacity will grow by 3.5%, slowing in the second half of the year.
In addition, the airline has finalized sale and leaseback deals on nine new A320s and 12 of its oldest A319s. Lease negotiations covering a further three new A320s are at an advanced stage and should be concluded within the next month.

Easyjet chairman Sir Mike Rake resigns

Sir Mike Rake said he was leaving Easyjet well positioned to continue delivering profitable growth

Low-frills airline Easyjet has announced that its chairman, Sir Mike Rake, will stand down this summer.
The move follows a long-running battle between the company and its founder, Sir Stelios Haji-Ioannou over the airline's expansion.
Earlier this week, Sir Stelios reduced his stake in Easyjet and threatened to sell more of his shares if the firm placed an order for more planes.

On Thursday Easyjet reported a 9% rise in revenues for the last quarter.
It also said it expects to make a smaller loss in the first half than it had previously forecast.
'Right time' In a statement announcing Sir Mike's departure, Easyjet said it had begun looking for his successor and Sir Mike had agreed to remain in his post until a replacement could be found.

The chairman said he wanted to make his position clear ahead of the company's annual meeting on 21 February.
"Easyjet has by any definition enjoyed a period of success and profitable growth in the last three years. As this takes the airline to the threshold of entry to the FTSE 100 it is the right time for me to stand down.

"The airline is now well positioned to continue to deliver profitable growth and returns for all its shareholders."
Sir Stelios, who founded Easyjet in 1995, has in recent years had a number of high-profile arguments with the management over the way the company is run.

Last year he tried to throw out a multi-million pound pay deal for executives but the vast majority of shareholders approved the pay packages.

In August he tried to oust Sir Mike, arguing that his role as deputy chairman of Barclays bank kept him too busy to devote enough attention to Easyjet, but 96% of shareholders voted to keep him as chairman.
