Norwegian looks to shift 140 jets to new leasing arm

Norwegian is aiming to divest up to 140 aircraft, including Airbus jets, into a planned spin-off leasing operation, although the company has yet to decide on the structure of such a venture.

The airline had previously disclosed that it was exploring options for selling an interest in its leasing arm Arctic Aviation Assets.
Chief executive Bjorn Kjos says the company has been approached by "several" interested parties, and that an aircraft divestment was "highly likely" in the "near future".

He says that the leasing arm will take Norwegian's "excess" short-haul aircraft, including both Airbus and Boeing jets, but the company is "unlikely" to divest its widebody types.
Norwegian has 65 A320neo and 30 A321neo jets on direct order with Airbus. Kjos says some of these will be divested "when we get delivery times out of Airbus".
"It's highly likely we're going to fly at least 30 of the Airbus order," says Kjos, adding that this leaves some 70 aircraft that could be transferred to the planned leasing venture.
In its first-quarter financial disclosure, Norwegian has presented a fleet plan indicating it will have 225 aircraft by the end of 2020.
These include 58 owned 737 Max, 53 owned 737-800s, and 19 owned A321LRs, plus 53 737-800s acquired through sale-and-leaseback or regular leases. Boeing 787s will account for the other 42.
But Kjos says the airline has "not had" an agenda to fly 225 aircraft.
"It's always been the intention to divest some of the aircraft," he says, although he says that some of the jets transferred to the leasing arm could be leased back to Norwegian, especially if 140 aircraft are involved.
"That's a discussion going on with different investors," he says.
Kjos points out that the company has 70-80 aircraft arriving over the next three years, so the figure of 140 is, relatively speaking, "not that many".
"We can divest a lot of aircraft, including the Airbus order, if we're not going to fly [them]," he says.

The Board of Norwegian Air Shuttle (NAS) confirms that it has received two separate conditional proposals from IAG Group in relation to an acquisition of 100 percent of the share capital of NAS.

These proposals were reviewed in conjunction with NAS’ financial and legal advisers, and were unanimously rejected on the basis that they undervalued NAS and its prospects. The Board of NAS remains fully committed to delivering on its stated strategy, for the benefit of all NAS shareholders.

--International Consolidated Airlines Group, the parent company of British Airways, plans to make a new offer for Norwegian Air Shuttle, valuing the airline at EUR1.52 billion, Expansion reports, citing unnamed sources.
--IAG plans to offer 330 kroner ($40.59) for each Norwegian share, which represents a 32% premium to Friday's closing price, Expansion says.
--IAG disclosed in April that it had bought a 4.6% stake in Norwegian, and has already made two unsuccessful approaches for the carrier.

IAG CEO says would not participate in bidding war for Norwegian

LONDON (Reuters) - British Airways-owner IAG (ICAG.L) will not become involved in any bidding war for Norwegian Air Shuttle (NWC.OL), the group’s chief executive told shareholders at its annual meeting on Thursday, adding it was not a must-do deal.
Norwegian said in May that it had rejected two approaches from IAG, the owner of British Airways, Iberia, Aer Lingus and Vueling, because they undervalued the company.
“We remain open-minded about Norwegian – this is not a deal that we have to do and we will certainly not get involved in a bidding war,” IAG’s CEO Willie Walsh told the group’s meeting which was held in Madrid.

Oggi Carsten Spohr ha dichiarato in un´intervista con il Süddeutsche Zeitung che anche Lufthansa Group é interessata a Norwegian. Si aspetta un´ulteriore onda di consolidamento entro i prossimi anni e Lufthansa vuole esserne protagonista. Di piú a riguardo non ha raccontato.

ROMA - Molti spasimanti, qualche approccio a volte un po' ruvido, altre troppo soft. Ma le attenzioni di tutte le compagnie aeree più importanti d'Europa guardano a Norwegian il vettore low cost del Nord Europa capace di crescere a doppia cifra nel giro di pochi anni. Una vera e propria impennata che nella giornata di oggi, dopo l'interesse dichiarato dal ceo di Lufthansa, ha permesso al titolo della compagnia low cost di guadagnare fino al 12% in Borsa.

"Lufthansa parla con Norwegian Air" conferma il numero uno della compagnia tedesca, Carsten Spohr alla "Sueddeutsche Zeitung". "In Europa tutti parlano con tutti in questo settore e una nuova ondata di consolidamento si avvicina. Ciò significa che anche noi siamo in contatto con Norwegian". Anche se non sempre questi "contatti" sfociano in un matrimonio, come la stessa storia di Norwegian insegna: infatti nei mesi scorsi più volte si è parlato di ammiccamenti e trattative sottotraccia. Prima con easyJet, poi con Ryanair (che ha sempre smentito anche di fronte alle conferme norvegesi), e a seguire Iag - ovvero il gruppo British-Iberia) e infine oggi Lufthansa. Secondo Spohr "le acquisizioni sono sempre una questione di valore strategico. Ma anche di prezzo e di concorrenza".

Ora per il vettore norvegese, schiacciato da un forte indebitamento dovuto al lancio di numerose linee intercontinentali a basso costo e all'acquisto di aerei, si apre la fase della trattativa più serrata e in esclusiva con uno di questi pretendenti. E di certo questo è uno scenario che non farà piacere ai commissari Alitalia che potrebbero veder sfumare l'interesse (sempre più labile) dei grandi gruppi aerei europei sulla compagnia italiana a favore di Norwegian o altre prede
