TAM e LAN si fondono


Comunque almeno per ora non sara' il nome commerciale, per cui poco importa del nome (un po' come CAI e Alitalia)
 
Notiziona, IMHO alla fine sceglieranno One-World che ultimamente si sta rilanciando un bel po'.

Il marchio sarà solo della holding almeno per ora quindi direi che non è malvagio.
 
Se cosi' fosse una bella mossa quella di Tam di entrare in SA e poi uscirne in meno di un anno!
 
Inoltre già BA ( e quindi IB ) fa parte di One World .... così hanno blindato il mercato del Sud America ..

E' vero ma TAM fa parte di Star Alliance. Il Presidente di LAN ha detto che non hanno ancora discusso né deciso il problema alleanza. Penso che faranno trattative con tutte e tre anche se concordo che One World é favorita.

LAN-TAM alliance decision not expected until at least 2012: Barroso

Brazil's TAM is on course to generate $60 million in additional annual revenues as a result of its new membership in Star Alliance, and does not expect to decide until 2012 whether to remain in Star as a result of its proposed merger with Oneworld member LAN.
TAM joined Star in May and at the time TAM CEO Libano Barroso outlined an expectation that its membership in the alliance would generate at least $60 million in additional annual revenues. Barroso told analysts today the carrier is "on the path" to generating these revenues and "doing very well" in meeting the $60 million target. He adds the establishment of the LATAM Airlines Group, the proposed new parent company for LAN and TAM, will not result in these $60 million in additional revenues disappearing from TAM's top line.
"We believe this LATAM combination will even more fit the potential for that [additional revenues]. In our view there will be even more opportunity for better connections, better feeding and better distribution power," Barroso said during a conference call to discuss TAM's second quarter earnings.
Barroso says TAM for now plans to stay in Star while LAN plans to stay in Oneworld as the two carriers focus on completing the merger transaction. Reiterating comments made by LAN CEO Enrique Cueto during a 13 August call with investors, Barroso says "in our view it's too early to think about" potentially selecting one alliance for both carriers.
"First of all we have six to nine months on the integration period and during that we have to look for the external third-party authorisation - meaning regulatory, stock exchange offer and so on. Beyond that as we integrate and decide on the comprehensive network for the joint combined companies will be time for us to discuss if we will maintain two independent alliances - meaning Star for TAM and oneworld for LAN - or if we discuss in future a single alliance for LATAM," Barroso explains.
He adds that while the two carriers do not plan to discuss alliances until after LATAM is formally up and running, "for sure this is an issue that we will be able to address in future. We believe it will take at least a year to answer on this decision process".
Answering a similar question from another analyst, Barroso responded: "It's not time for us to discuss potential change in alliance. First of all we have to put all the things up and running at the LATAM level. But in the future - we believe this should take more than a year or two years - we will discuss if we will maintain separately Star Alliance and Oneword because the two companies will be independent - LAN and TAM - or if in future there will be a single alliance for both."
Separate from their alliance memberships, LAN and TAM expect their merger will generate $400 million in annual synergies, including $170 million in new annual passenger revenues.
Barroso says some of these revenues will come from new flights as the two carriers will look to launch services to Africa - a continent currently not served by either LAN or TAM - as well as additional flights to Europe and Asia. He expects the merger will also result in "integrating even better the south cone" of South America.
He says TAM does not expect the merger will result in new domestic flights but will provide additional feed for TAM's existing domestic services. "For sure the outcome will be higher load factors. With the same slots and same aircraft we will collect more and better occupation," Barroso explains.
The merger is being structured to ensure balanced control with LAN and TAM each having 50% voting power in LATAM. The LATAM board will comprise of nine members, including two from LAN's Cueto family and two from TAM's Amaro family
But from an ownership standpoint the Amaro family will hold a 13.5% stake of LATAM while the Cueto family will have a larger 24.1% stake. The remainder includes a 15.8% free float from TAM and 46.6% from LAN.
The CEO of TAM's parent company, Marco Bologna, told analysts today that two shareholder agreements have been forged, one between the Amaro and Cueto families to regulate control of LATAM and the second between the Amaro family and LATAM. The second agreement covers how TAM's parent company will be controlled because the Amaro family will retain 80% of the voting shares in TAM.
This 80% is required to meet current Brazilian regulations, which limit foreign ownership of airlines to 20%. While LATAM will only own 20% of TAM's parent company it will have veto authority on certain issues. But Bologna says this veto power "will not give any power to change the operational business of TAM". As a result he does not expect this will become an issue with Brazilian authorities as they are asked to approve the proposed transaction.

One world secondo me parte estremamente favorita e alla fine succederà come per JAL e forti dello "storico" e del forte interesse a blindare il mercato dell'america latina la spunteranno.

Il problema JAL e' proprio nato dalla forza che DL ha già (grazie a NW) su NRT e di conseguenza sull'influenza in far east/pacifico. Se Jal fosse caduta in mani Skyteam per AA e soci sarebbe stato "durissima"...e quindi credo abbiano fatto "qualsiasi cosa" per stoppare ST e DL in particolare.
Stessa cosa se ribaltiamo il concetto....OW+LATAM...diventerebbe troppo...ovvero un problema. Quindi fuoro di sbarramento da parte di Star in primis e a ruota ST e non dimenticare che DL e' diventata la seconda compagnia (pax, voli e frequenze) sulla USA-SAM. Quindi sempre IMHO...direi invece che OW potrebbe partire sfavorita....mentre STAR e ST se la giocano...forse con un leggero plus di ST vista la già partecipazione di TAM nella alleanza. Insomma chi vince paga una birra?

Capisco il tuo concetto ma perché ST favorita se TAM fa parte di STAR? Intendevi dire STAR favorita? Riguardo a OW penso che anche STAR abbia posizioni dominanti in Europa, perfino troppo dominantied in Asia. Comunque sarà interessante.

Scusa SEVS17 ho fatto confusione...si Star partirebbe (condizionale) favorita.
Inoltre concordo con the che Star ha una posizione, secondo me,mega dominante in europa continentale...ma si dovrebbe aprire un altro thread per ciò.
 
Beh però molto efficace.
Mantiene in qualche modo i 2 marchi LA....TAM, e dall'unione ne esce un nuovo logo/brand che riesce a dare immediatamente l'idea di quello che vuole fare il nuovo gruppo. Una multinazionale dislocata nell'America Latina e al servizio di un pò tutta l'area (LATAM come Latin America).

Tecnicamente è un nome molto efficace: brand essence inequivocabile, chiara associazione fra il marchio e la geografia che serve; ambedue le aziende che lo costituiscono conferiscono la propria attuale identità e recognition al marchio futuro. Soprattutto, però, è un marchio facile da attivare perché rappresenta un progetto chiaro: creare il vettore di riferimento dell'America latina.

E' un nome geniale, evocativo e che non fa perdere traccia dei nomi storici.



LATAM può evocare Latin America e, al contempo, LA(n chile)TAM.
Davvero azzeccato a mio parere.

LAN expects to close TAM merger in 2Q 2011

LAN expects to close its acquisition of Colombia's Aires within the next month and close its merger with Brazil's TAM by mid 2011.

Enrique Cueto, the chief executive of LAN and the new LATAM Airlines Group, tells ATI at the ALTA 2010 Leadership Forum that the merger with TAM is on pace to close in the second quarter of next year. The deal is currently being reviewed by various regulatory agencies.

LAN last month also announced the acquisition of Aires, Colombia's second largest domestic carrier. Aires will be folded into LATAM, giving the new group passenger carriers in seven South American countries. Cueto says LAN aims to complete due diligence and close the Aires deal within one month, saying "we have to go quickly" because Aires is "running out of cash" and will disappear without new investment from LAN.

ALTA president and Avianca-TACA chairman Roberto Kriete was one of several Latin airline industry leaders during the forum to congratulate Enrique Cueto and his brother, Ignacio Cueto, on their historic tie-up with the TAM's Amaro family. Kriete joked that LATAM "could just write a couple of cheques and buy us all out".

But Kriete points out the LAN-TAM combination is still "much smaller than the monsters we compete against in the open skies environment," referring to US carriers.

He says all the traffic of all ALTA members combined is still smaller than the traffic at Delta, United, "and maybe American". Kriete adds that "in this industry economies of scale are a must to be able to have a competitive position".

Volaris chief executive Enrique Beltranena also congratulated LAN and TAM, pointing out the deal brings together two companies which were already highly successful. "It's not LAN taking over; it's LAN and TAN combining two well performing models to make something that is absolutely great," Beltranena says.

Deutsche Bank managing director and senior analyst Michael Linenberg similarly applauded the LAN-TAM deal and the overall consolidation trend in Latin America, including last year's Avianca-TACA deal. "In Latin America I see an industry that is consolidating at a much faster rate than the US," Linenberg says.

TAM President Libano Miranda Barroso told ATW in Panama City that the planned TAM/LAN Airlines merger will "have some similarity to the [British Airways] and Iberia merger" with both carriers' brands continuing to exist.

The all-stock transaction, which the airlines aim to complete in the first half of next year, is valued at $3.7 billion and would create a parent company, LATAM Airlines Group, with combined annual revenue of $8.5 billion (ATW Daily News, Aug. 17). Relevant papers recently were submitted to the Brazilian National Civil Aviation Agency, or ANAC, the airlines have stated.

Observers around the world are wondering which alliance the combined airline company will choose. LAN is in oneworld while TAM joined Star Alliance in May.

Barroso, in Panama City for the recent ALTA meeting, said no decision regarding alliance membership has been made. "We have to look at the big picture," he said of the ongoing deliberations on the issue. "It is important to have a strong alliance." LATAM would have a market-share of about 50% in South America, prompting the Centre for Asia Pacific Aviation to comment that "there are hundreds of millions of dollars at stake" in regards to which alliance LATAM joins.

Barroso said the alliance decision could take "up to two years" to make, adding that it is "possible" LATAM could remain a member of both alliances.

Star Alliance CEO Jaan Albrecht said dual membership can't be ruled out. "Everything is possible at this stage," he explained. "It depends especially on what makes sense for the customer and how deep the integration of [LAN and TAM] goes."

Chile's anti-trust court puts LAN-TAM merger on hold

Chile's anti-trust court TDLC has accepted a request by the consumer rights organisation CONADECUS to investigate the competitive impact of the planned merger between LAN and TAM and has ordered to "suspend the process" while it conducts an investigation.
While the Chilean Public Prosecutor for Economic Matters opened immediately after the merger plans were first announced by Chile-based LAN and Brazil's TAM last August a case to investigate, and eventually limit, the deal's impact on the Santiago-Sao Paulo trunk route, the CONADECUS request broadens the investigation to the overall market situation in Chile.
According to CONADECUS, the merger may "generate a severe and negative impact to competition which goes much beyond the Santiago-Sao Paulo route", claiming that the court should take into account not only a single route, but also the general consequences for the travel market.
A CONADECUS spokesman says that "LAN has a history of dominating the market where it operates" and that the TLDC should take into account "the principles of free competition and consumer rights" from a global perspective. He adds that "LAN's historic relations with competitors have frequently been inadequate," suggesting that LAN tries to create de-facto monopolies to raise fares.
The TLDC has accepted the CONADECUS request for investigation and has therefore suspended the LAN-TAM merger process during the information collecting and internal decision period.
According to its official bulletin, it has invited the Chilean Public Prosecutor for Economic Matters, the Ministers of Transport and Economy, the Civil Aviation Authority, the National Tourism Agency, IATA Chile, travel agent associations as well as airlines operating within or to and from Chile to submit their opinions and requests regarding the planned merger within 30 days.
A LAN spokesman says the airline group is "aware of the matter" but declined to comment on it.
LAN executives last week told analysts they hoped to complete the merger transaction in six to nine months. But they warned the deal was still contingent on approval from competition authorities in several countries including Chile, Argentina, Brazil, Germany, Italy and Spain.
