(Reuters) - Ryanair (RYA.I) Chief Executive Michael O'Leary is to travel to Cyprus on Thursday for talks with the government about the possible takeover of loss-making carrier Cyprus Airways CAIR.CY, he told journalists.
Ryanair was among nearly 20 companies which last month submitted non-binding expressions of interest in the airline, now controlled by the Cypriot government. The process is a preliminary step towards any eventual binding offer.
O'Leary's announcement marked a change of approach as he had said last month that Ryanair, Europe's largest budget airline, was not particularly interested in acquiring the carrier.
"We are engaged in the process and hope something will come of it. It's a very political process down there," he told a new conference in Dublin on Thursday, adding that any deal would be small relative to Ryanair's overall growth strategy.
Under his company's proposal, Cypriot Airways would retain its brand and operate under a separate air operator's certificate to Ryanair, he said.
The Irish airline will propose it could boost the airline's passenger numbers to 3 million per year from 600,000 currently, down 50 percent from peak, O'Leary said. He declined to give any further details.
Ryanair has only ever taken over one other airline, Buzz, which was absorbed into the Ryanair brand.
Cyprus Airways has struggled to survive against cheaper competitors and has been loss-making for years despite several attempts at a turnaround.
The airline has recently resorted to selling assets to stay afloat, including its slots at London's Heathrow airport.
It is also under scrutiny by the European Commission. Brussels is investigating terms of a 31.3 million euro (25 million pounds) capital increase in early 2013, and a 73 million euro rescue package by the Cypriot state in 2012 to establish whether it violated state aid rules.

Ryanair and Aegean were among companies that submitted non-binding proposals for the acquisition of Cyprus Airways.
Marios Demetriades said "more than half" of the 15 parties that earlier made an initial expression of interest and signed a non-disclosure agreement had submitted non-binding business proposals by the time the deadline expired on Wednesday evening.
"I would say the response is encouraging, but we have to assess the non-binding proposals to see what they contain," Demetriades said.
The Cypriot state, which owns more than 90 percent of Cyprus Airways, invited companies to submit expressions of interest in July. Loss-making Cyprus Airways has struggled to survive against cheaper competitors for years despite several attempts at a turnaround.
About a third of the parties that submitted non-binding business proposals were airlines, Demetriades said.
A government-appointed commission will now assess the proposals and decide which parties would be short-listed and invited to submit binding offers, he said.

Ryanair will press ahead with plans to expand in Cyprus even if its bid to take over the country’s ailing national airline does not succeed, it emerged yesterday.
The Irish airline was one of up to 15 that recently submitted proposals to the Cypriot government to take Cyprus Airways, which needed a €73 million state bail out after losing €56 million in 2012.
Ryanair chief executive, Michael O’Leary, said that the Irish company has pledged it will expand the airline from five craft and 700,000 passengers a-year to 20 planes and three million passengers over five years if it succeeds.
However, he added that the Cypriots are more likely to opt for a rival bid from Greece’s Aegean Air “for political and cultural reasons”.
Mr O’Leary revealed that Ryanair has applied to the country’s authorities for its own Air Operator’s Certificate (AOC), a licence allowing it to establish its own airline on the island that could open up new markets in the Mediterranean, Middle East and Russia.
As Cyprus is in the EU, Ryanair can fly to and from there to any other member state under its Irish AOC, but it cannot fly from there to countries such as Russia or Israel, where it is keen to expand.
Ryanair already has a base at Paphos in Cyprus and Mr O’Leary signalled that it would expand its presence considerably there if its AOC application were to succeed. He suggested that it could fly under the “Ryanair Cyprus” banner.

He was speaking after landing in Dublin Airport in the first of the new 180 Boeing 737-800 craft that the airline is purchasing from the US aerospace manufacturer over the next five years.
Earlier this week, Ryanair signed a new deal with Boeing for up to 200 737 Max 200 craft, worth €17 billion, which it will buy between 2019 and 2023. That agreement will leave the Irish airline with a fleet of 520 planes by 2024.
It will take delivery of 15 of the 737-800 craft this winter.

Aegean, Ryanair asked to submit plans for Cyprus Airways

Aegean Airlines (A3, Athens Int'l) and Ryanair (FR, Dublin Int'l) are the only two airlines the Cypriot government has shortlisted in the race to acquire fast sinking Cyprus Airways (CY, Larnaca). With the end of the tender process this week, the Cyprus Mail reports government received nine bids in total but asked only Aegean and Ryanair to submit business plans.

Among the other contenders were Arkia Israeli Airlines (IZ, Tel Aviv Ben Gurion), a "prominent" Russian investor with Swiss citizenship, "Cyprus Air" - a bid led by a Cyprus Airways pilot working alongside another Russian investor, the Arevenca Group (a joint-venture between flyAruba (Aruba) and Spain's Triple Five Group), Blue Air (Romania) (0B, Bucharest Otopeni), and S7 Airlines (S7,Novosibirsk).

The decision to choose Aegean and Ryanair has caused much concern among Cyprus Airways employees who consider both to be “hostile”. Airline unions fear a buy-out by either party will lead to massive redundancies and/or major pay cuts. At an AGM held on Wednesday, the airline's unions issued a joint statement demanding government ensure employees' jobs as part of the privatisation process.

In the wake of the talks, Cyprus Airways' financial situation has continued to deteriorate with reports the airline's board has drafted an emergency plan which would allow the national carrier to survive for a further 6 to 8 months. The plan entails the freezing of collective wage agreements for at least six months.

All eyes are currently on the European Commission with a ruling on whether a EUR73million rescue package in 2012 and a EUR31.3 million capital increase in early 2013 violated EC state-aide regulations due out soon. Finance minister Harris Georgiades has warned that a ruling against the airline is likely adding that the forced repayment of aid would likely lead to Cyprus Airways' collapse
