Brexit and fuel costs force airline Flybe to put itself up for sale
The airline will say on Wednesday that it is considering a sale or merger amid tough industry conditions, Sky News learns.


Flybe, the UK-based airline, is putting itself up for sale weeks after a savage profit warning triggered by currency volatility and higher fuel costs sent its shares plunging.

Sky News has learnt that the Exeter-based carrier, which said last month that it expected to lose £12m this year, will announce to the London Stock Exchange on Wednesday that its board has begun exploring a sale to or merger with a rival.

Bankers at Evercore have been brought in to handle the talks about a potential deal.

Sources said a combination of Brexit-related uncertainty‎, the weaker pound and soaring fuel costs had led Flybe's directors to conclude that a takeover was likely to be required to preserve its future.

The news will be disclosed alongside Flybe's interim results.

One potential suitor is likely to be Stobart Group, the owner of Southend Airport, where ‎Flybe is based, bankers said on Tuesday evening.

Stobart, which is the focus of a bitter courtroom battle between board members and its former chief executive, abandoned a previous bid ‎earlier this year.

Flybe, which is now valued at just £25m by the stock market, remains one of the UK's best-known airline brands, carrying thousands of passengers between second-tier British airports and European destinations.

The carrier has cut hundreds of jobs and closed unprofitable sites as it has sought to exert a grip on costs amid an intensifying industry price war.

At the end of September, Flybe retained a fleet numbering 78 aircraft, and has promised investors that it would continue to reduce capacity to focus on its most popular routes.

"Consumer demand in domestic and near-continent markets has weakened in recent weeks and the board now expects this to continue into the second half," the company said last month.

"This together with higher fuel prices and weaker sterling will impact the expected second-half profit performance."

Christine Ourmieres-Widener, Flybe's chief executive, said at the time that the company was focused on "stronger cost discipline...against the headwinds of currency and fuel costs".

It was unclear which other airlines might be interested in acquiring Flybe, although bankers speculated that turnaround funds would examine offers to take the company private

Apart from the Brexit-related impact on sterling, the UK's departure from the EU is also causing profound uncertainty for investors in British airlines with a no-deal outcome still a possibility.

A Flybe spokesman declined to comment

Flybe’s pre-tax profit fell 54 per cent to £7.4m in the six months to the end of September, compared with the same period last year. Revenue fell 2.4 per cent to £409m and net debt grew nearly 40 per cent to £82m.

In Flybe’s results, auditor PwC said there was “significant doubt” over whether Flybe could continue as a going concern because of the possibility its two main card processors could increase the level of cash collateral they demand and that Flybe might not be able to meet that.

Chief executive Christine Ourmières-Widener said: “There has been a recent softening in growth in the short-haul market, as well as continued headwinds from higher fuel and currency costs. We are responding to this by reviewing every aspect of our business, especially further capacity reduction, cash management and cost savings.”

Chissà se IAG ci fa un pensierino, per la serie a volte tornano (nel 2006, fu proprio BA a pagare una certa somma a Flybe per, letteralmente, disfarsi della sua sussidiaria di Didsbury, BA Connect).

Ci sono due vere incognite

1) Brexit, sia nel senso della proprieta' (Flybe dovrebbe rimanere 51% British) che di come si sviluppera' il traffico UK-Europa. Flybe ha molte rotte da aeroporti secondari verso Spagna/Francia/e altre rotte vacanziere. Bisogna vedere come si mettono le cose e che disponibilita' avranno quelli con la casa in Spagna o in Francia a fare viaggi.

2) Flybe ha hubs in aeroporti secondari e un misto di rotte operate con Embraer e rotte ancora piu' sottili operata con frullini. In caso di spezzatino alcune rotte potrebbero essere appetibili per U2 o Jet2 e altre per Loganair. Non vedo una grossa compagnia comprare tutta Flybe.
A proposito di corsi e ricorsi AFKL potrebbero prendersi una parte della compagnia per continuare a 'aspirare' passeggeri per AMS o CDG

Buona osservazione, non c'avevo pensato. Allo stato attuale delle cose, più che KLM è Air France che ha accordi con Flybe per i feeder flights su Parigi da svariati aeroporti (Manchester su tutti). Su Amsterdam, se non vado errato, hanno accordi commerciali con Etihad ma nulla con KLM invece (la quale, tuttavia, gode di una rete piuttosto capillare da/sulla 'provincia' UK).

Sentivo prima a SKYTG24 che pare siano riusciti a trovare un accordo con l'UE, il problema è che l'ala più dura del governo la considera una sconfitta ed è pronta ad affossare l'accordo.

Potrebbero per gli slot di LHR, ma credo che siano forzosamente dovuti a rotte domestiche.

Sentivo prima a SKYTG24 che pare siano riusciti a trovare un accordo con l'UE, il problema è che l'ala più dura del governo la considera una sconfitta ed è pronta ad affossare l'accordo.

L’accordo è senz’altro una sconfitta, ma con le carte che aveva in mano May era difficile aspettarsi un risultato diverso. Spero che questo sia da monito a tutti i fautori delle varie Frexit, Italexit, Grexit, Salcazzexit

A meno che non sia cambiato qualcosa, non credo che i termini dell'accordo siano pubblici, almeno ora.

Ad ogni modo non sara' una vittoria per l'UK.

In molti non ci arrivano manco a tanto, per tanti la questione chiave era ed è l’immigrazione (con buona pace di ricadute sull’economia eccetera-eccetera), c’è un’ignoranza in materia che fa paura.

Virgin Atlantic in talks to rescue Flybe

Flybe and Virgin Atlantic have confirmed they are in talks about a sale or closer alliance.
The move comes after cash-strapped Flybe put itself up for sale earlier this month.
The Exeter-based regional airline said that Virgin was "one of the parties" it has been in discussions with.
Last month, Flybe warned its full-year losses would be £22m, blaming falling consumer demand, a weaker pound and higher fuel costs.
Confirming the talks, Flybe added that there was no certainty that an offer would be made by Virgin.
In a short statement, Virgin Atlantic said it "has a trading and codeshare relationship with Flybe and confirms that it is reviewing its options in respect of Flybe which range from enhanced commercial arrangements to a possible offer for Flybe".
Since hitting a price of nearly 50p in March this year, Flybe's shares have fallen by more than three-quarters. On Friday, they jumped by nearly half to 14.3p.
Flybe, whose roots date back to 1979, has 78 planes operating from smaller airports such as London City, Southampton, Cardiff, Aberdeen and Norwich to destinations in the UK and Europe.
It serves about eight million passengers a year, but has been struggling to recover from a costly IT overhaul and has been trying to reduce costs.

ANALYSIS: How Virgin could benefit by acquiring Flybe

When Flybe put itself on sale earlier this month it looked like it might end up as a one horse race, with previous suitor Stobart expected to make a fresh bid for the UK regional carrier. But Virgin Atlantic's disclosure that it is also considering making an offer adds an intriguing new dynamic to the sale process.
Virgin says its talks with the Exeter-based carrier range from "enhanced commercial arrangements to a possible offer". But what are the potential benefits of a tie-up for the London-based carrier?
An anonymous source with knowledge of the matter tells FlightGlobal that Flybe has "a lot of potential but it will require someone quite brave" to take it on.

FEED
The two UK airlines are already codeshare partners, with Flybe using its UK domestic operations to feed Virgin's long-haul services from Manchester, London Heathrow and elsewhere.
Flybe has essentially replaced Virgin's Little Red operation, using the defunct carrier's slots at Heathrow to start routes Little Red previously provided to Edinburgh and Aberdeen.
An acquisition of Flybe could offer the opportunity to find even more synergies between the two airline's networks. In Manchester, Virgin is planning a new service to Los Angeles and will boost frequencies to other US cities. The carrier already operates to New York, Orlando and Atlanta from the UK airport.
A tie-up could provide opportunities for Virgin to better align Flybe's UK domestic services into Manchester to better match its US schedule and maximise feed opportunities.
Virgin is 49% owned by Delta Air Lines, and the two carriers are in the process of cementing closer ties with Delta's SkyTeam alliance partner Air France-KLM. Under the proposed deal, Air France-KLM will acquire 31% of Virgin Atlantic from the Virgin Group for £220 million ($287 million), reducing the latter's stake to 20%. This move is part of Virgin joining Delta and Air France-KLM's joint ventures in Europe and on transatlantic routes.
Outgoing Virgin chief executive Craig Kreeger told FlightGlobal earlier this year that he expects the tie-up to clear regulatory hurdles and come into force early in 2019.
KLM is already a significant operator in the UK, especially in the regions that it connects into Amsterdam Schiphol. A Virgin takeover of Flybe could indirectly provide Air France-KLM with even greater access to the UK market.

FLYBE ASSETS
Flybe's portfolio of UK airport slots might only be of nominal interest to Virgin. The carrier has significant operations at airports such as Manchester, Exeter, Southampton and some slots at London Heathrow, although it does not own the latter having been awarded them for specific services to Scotland.
But beyond the UK, Flybe holds airport slots at Paris Charles de Gaulle and Amsterdam Schiphol, and these could be of value, especially in the context of Virgin's wider strategic relationship with Delta and Air France-KLM.
Flight Fleets Analyzer data shows that Flybe has a fleet of 68 aircraft in service, consisting of 53 Bombardier Q400s, 11 Embraer 175s and four E190s, with the latter two types being slowly phased out. Flybe owns 18 of the Q400s and seven of the E175s.
At first glance, Flybe's fleet of predominately turboprops would seem to be of little value to Virgin beyond their use to feed its long-haul operations. However, if the wider relationship with Air France-KLM is considered, the aircraft could in places be redeployed for use with KLM Cityhopper or elsewhere in the Franco-Dutch airline group's network.
Meanwhile, Flybe's recent sale and lease back of a hangar at its Exeter base for £5 million ($6.4 million) and its deal with NordLB to release $5 million of funds secured against one of its Bombardier Q400 turboprops might be small amounts, but could be a way to advertise to a potential buyer that it is still able to raise money and has assets of some value.

RESTRUCTURING
The decision by Flybe's board to put the UK carrier on sale earlier this month came as it disclosed ahalving of pre-tax profits to £7.4 million over the first half of the year. In October, it had issued a profit warning for the full year, citing a weaker outlook for demand and the effects of fuel and currency movements.
While the performance was far from encouraging and saw a further denting of its share price, beyond those recent numbers there is evidence that Flybe's underlining business model might be fairly robust.
Flybe has itself identified factors dragging down its performance such as unfavourable aircraft leasing agreements. Excluding the effect of an onerous E195 lease, Flybe's adjusted pre-tax profit of £9.9 million was "slightly ahead" of guidance given in October.
Flybe is in the midst of a restructuring programme to cut capacity to better match demand, while also trying to improve yield on seat sales. In its last financial disclosure, the airline said its third-quarter performance, beginning on 1 October, had been "positive".
While it has cut seat capacity in the third quarter by 6% compared with the previous year, it has increased the proportion of seats sold from 59% to 63%.
Analysts Liberum issued a note in which it says it still saw "turnaround potential at Flybe as it brings capacity into line with potential profitable demand".
"There remain self-help opportunities to continue to improve revenue per seat, such as new commercial systems, and non-fuel unit costs ought to be brought under better control, helped by cheaper aircraft leases, even with the headwind of seat capacity reductions."
If Virgin could strip Flybe of its additional businesses such as its training academy and even its MRO arm and exit its unfavourable lease agreements, the airline could become a streamlined operating unit and theortically profitable. It could also have uses within the wider Air France-KLM group, potentially in a similar feeding role to that which KLM Cityhopper performs in the Netherlands.
At present both EasyJet and Stobart have declined to comment officially on any interest they may have in Flybe, which makes it difficult to predict whether a geniune bidding war could develop for the carrier's assets, but the rising price of Flybe's shares certainly suggests that the markets sees rising interest in the UK carrier as genuine.
