SANTIAGO — La compagnie aérienne chilienne LAN et la brésilienne TAM ont annoncé vendredi à Santiago leur fusion pour donner naissance au plus grand transporteur aérien d'Amérique latine, qui sera baptisé LATAM Airlines Group.Dans un communiqué conjoint diffusé à Santiago par LAN, les deux sociétés indiquent avoir conclu un protocole d'accord en vue d'"associer leurs entreprises sous la forme d'une seule société mère".
LAN et TAM entendent ainsi créer "un nouveau groupe latino-américain de transport aérien pour offrir aux passagers et clients fret de nouveaux services à l'échelle de la région, et entre l'Amérique latine et le reste du monde".
La nouvelle entité figurera "parmi les compagnies aériennes leaders dans le monde", ajoute le document.
LAN et TAM formeront un groupe commun mais elles "continueront à opérer en tant que compagnies aériennes distinctes avec chacune leur marque indépendante, et conserveront leurs sièges respectifs à Santiago et Sao Paulo".
Le nouveau groupe créé desservira plus de 115 destinations dans 23 pays, avec une flotte de 220 avions et des effectifs de 40.000 employés en incluant leur filiales.

SAO PAULO Aug 13 (Reuters) - Brazil's largest airline TAM Linhas Aereas (TAMM4.SA)(TAM.N) plans to merge with Chilean rival LAN (LAN.SN)(LFL.N), a deal that would create the biggest carrier in Latin America.
The merger would create a new regional powerhouse to help meet booming demand for air travel in Latin America. The combined company would fly to 115 destinations in 23 countries and employ some 40,000 workers, TAM said.
TAM said in a regulatory filing on Friday the new entity, to be named Latam Airlines Group, would be created via an all-stock transaction that may include a share swap. The financial terms were not disclosed.
LAN also confirmed the agreement, which it said was non-binding.
LAN's Chief Executive Enrique Cueto will be the CEO of Latam Airlines, while TAM's deputy chairman Mauricio Rolim will be the chairman of the combined company. The airlines' brands will be kept separate, the statement said.
As part of the agreement, TAM said its shareholders will receive 0.9 shares of LAN for every TAM share in the form of Brazilian depositary receipts. TAM said it would then delist its shares in Sao Paulo and in New York.
TAM's controlling shareholders, Tam Empreendimentos e Participacoes, will retain control of the Brazilian company with an 80 percent voting stake and will also own an undisclosed stake in LAN, the filing said.
LAN's controlling shareholders, Costa Verde Aeronautica SA and Inversiones Mineras del Cantabrico will also retain control of the Chilean airline, TAM said.
TAM shares rose 27.6 percent to close at 36.20 reais in Sao Paulo. LAN rose 7.7 percent to 13,900 Chilean pesos in Santiago.

si perchè la compagnia madre alla fine è LAN (sono sue sussidiare Lan perù, argentina, equador, perù ed express)

in effetti è stato abbastanza inaspettata come notizia
vedremo che succederà per le alleanze (alla fine sarà come AF-KL se non ho capito male)
 
Certo però a questo punto una delle due passerà nell'alleanza dell'altra.
Sarei propenso a pensare a OW, vista la storia di LAN rispetto a quella molto recente di TAM in SA.
Ma non si sa mai.

LAN and TAM to merge

LAN and TAM have unveiled plans to merge and create a new single parent company.
Chile-based LAN and Brazil-based TAM announced this evening they have forged "a non-binding memorandum of understanding that outlines their intentions to combine their holdings". The deal is subject to both companies completing a binding definitive merger agreement and securing approval from their shareholders and relevant regulatory authorities.
LAN and TAM are the two largest Latin American airline groups by revenue. In addition to its Chilean operations, LAN has passenger airline affiliates in Argentina, Chile, Ecuador and Peru as well as cargo airline affiliates in Brazil, Colombia, Mexico and the US. TAM has passenger airlines in Brazil and Paraguay as well as a Brazilian business aircraft operation that is one of the largest in Latin America.

The two groups, once combined, will be known as the LATAM Airlines Group. They say the new group "would offer seamless passenger and cargo service across the continent and around the world".
Combined, LAN and TAM would have annual revenues approaching $10 billion. While this would dwarf any other Latin American airline group by about $7 billion, it would still be significantly smaller than the largest airline groups in North America, Europe and Asia.
Brazil's Gol and the newly formed Avianca-TACA group, for example, have annual revenues of roughly $3 billion. Air France-KLM, Lufthansa and Delta all have annual revenues of roughly $30 billion.
LAN and TAM are both already traded in the New York stock exchange. The new parent company LATAM would continue to be listed in New York as well as in Chile - where LAN is also now traded - and in Brazil - where TAM is currently traded.
Both have similar narrowbody fleets consisting of Airbus A320 family aircraft, and also operate Boeing 767s and Airbus A340s in their widebody fleets. But from an alliance perspective the two are very different - LAN is a long-standing member of the Oneworld alliance while TAM joined Star earlier this year.

LAN ha sempre portato dei miglioramenti dove e' entrata, vedremo da che parte staranno:dubbio:
 
Mi viene da pensare che per Lan avere un hub a Gru da raggiungere con tutte le sue controllate sarebbe interessante, ma conoscendo Gru che quasi e' al collasso ora...
 
(AGI) San Paolo - La brasiliana Tam e la cilena Lam si sono fuse dando vita alla prima compagnia aerea sudamericana. Lo hanno annunciato i vertici delle due societa'. La nuova compagnia si chiamera Latam Airlines Group. Lan e' fa parte dell'alleanza aerea Oneworld (in cui e' presente Alitalia) mentre Tam della rivale Star Alliance .
