Definitive agreement regarding the sale of Spanair signed
• SAS Group to remain a minority shareholder (19.9% ownership)
• All losses taken in 2008 accounts – total negative effect of MSEK -4

The SAS Group ("SAS") has reached a definitive agreement with a group of investors from
Catalonia, led by the Consorci de Turisme de Barcelona (the "Consorci") and Catalana
d'Inciatives ("Inciatives"), whereby the group of investors will acquire a majority stake in
SAS' subsidiary Spanair S.A. ("Spanair") for a cash consideration of EUR 1.
Following the transaction, SAS will remain as a 19.9% minority shareholder in Spanair, and
act as its industrial partner to assist in the implementation of a strategic plan, which aims at
further strengthening Spanair's position in Spain and as the leading carrier in the
Barcelona region. The effect on SAS is a capital loss of MSEK -712 as a result of the
divestment, which will be booked in the 4th quarter of 2008.
Mats Jansson comments: "We are confident that we have now secured a platform for
Spanair as a Spanish based company with Spanish majority owners. Due to unprecedented
market conditions, the transaction will have a significant negative impact on the Q4
earnings of the SAS Group, but we believe that the new owners will secure the future of
Spanair and develop the company to the benefit of Barcelona and the Barcelona region. We
will retain an interest in Spanair as a minority shareholder to support its strategic plan".
Following the transaction, MEUR 99 of existing interest bearing indebtedness to SAS will
remain outstanding and be amortized in line with Spanair’s future cash flow generation. In
addition SAS will convert MEUR 20 of existing loans to Spanair into equity in Spanair, and
repay Spanair’s external loans of MEUR 18. SAS will also continue to lease in total 18
aircraft to Spanair on market terms and remain as guarantor of MEUR 36 for certain
operational undertakings of Spanair for a limited period.
In summary, the financial effects from Spanair’s 2008 result and this transaction on the
SAS Group in 2008 will be a negative effect of MSEK -4 895 reported as discontinued
operations in the 2008 financial statements. This loss consists of:

SAS’ total cash outflow in connection with this transaction will amount to MEUR 18. In
addition thereto, SAS has committed to contribute up to MEUR 50 in respect of potential
future funding needs of Spanair.
After closing of the transaction, SAS will account for the 19.9% stake in Spanair as a
financial asset.
The parties have entered into a shareholders’ agreement granting SAS certain minority
protection rights.
The transaction is expected to close during 1st quarter 2009 and is subject to customary
regulatory approvals.

Catalan group Iniciatives Empresarials Aeronautiques said on Friday it had bought 80.1 percent of struggling SAS unit Spanair, and would fund the purchase by raising EUR100 million euros through a share issue.

SAS will own the remaining 19.9 percent of the airline and retain Spanair's debt. The airline will be based in Barcelona, the capital of the region of Catalonia.

STOCKHOLM/MADRID, Jan 30 (Reuters) - Scandinavian airline SAS said on Friday it had struck a deal to sell most of its money-losing Spanair unit to a Spanish consortium for one euro, leaving it with a 2.2 billion Swedish crown ($266 million) charge in the fourth quarter.

SAS, which has been struggling in recent years to turn itself around and become more profitable, had abandoned an earlier effort to sell Spanair in June of last year after it was unable to secure a deal on acceptable terms.

SAS said it sold 80.1 percent of Spanair to a public-private consortium from the Spanish region of Catalonia but the Scandinavian firm will still be responsible for Spanair debts following the deal.

"In summary, the financial effects from Spanair's 2008 result and this transaction on the SAS Group in 2008 will be a negative effect of 4.895 billion crowns reported as discontinued operations in the 2008 financial statements," SAS said.

Of that total, 2.72 billion crowns was booked in the first three quarters of last year while 2.18 billion will be accounted for in the fourth-quarter results.

The fourth-quarter charge consists of a 712 million crown capital loss, 907 million for one-off restructuring costs and an additional 560 million for Spanair losses in the quarter.

The consortium groups Catalana d'Iniciatives -- a private equity group including some of Spain's biggest banks and builders -- with regional tourist authorities, a Barcelona exhibition centre and businessmen in local tourism.

SAS, half-owned by Sweden, Norway and Denmark, will own the remaining 19.9 percent of the Barcelona-based airline and retain Spanair's debt, which SAS said last March was around 260 million euros ($334 million).

UNPRECEDENTED CONDITIONS

SAS will also continue to manage the firm on an operational basis, Iniciatives said.

"Due to unprecedented market conditions, the transaction will have a significant negative impact on the Q4 earnings of the SAS Group," said SAS Chief Executive Mats Jansson in a statement.

Iniciatives Empresarials Aeronautiques said the new Spanair would boost capital to raise 100 million euros and would launch a three-year plan to swing the airline back into profit.

Spanair lost 515 million Swedish crowns ($62.35 million) in the first half of 2008.

"Following the transaction, 99 million euros of existing interest bearing indebtedness to SAS will remain outstanding and be amortized in line with Spanair's future cash flow generation," SAS said.

"In addition SAS will convert 20 million euros of existing loans to Spanair into equity in Spanair, and repay Spanair's external loans of 18 million euros."

SAS said it will continue to lease 18 aircraft to Spanair on market terms and remain as guarantor of 36 million euros for some operational undertakings of Spanair for a limited period.

SAS put the carrier up for sale in 2007 but potential buyers shied away from a purchase, deterred by high fuel costs, falling demand and overcapacity in the Spanish market. Two months after SAS abandoned its attempt to sell Spanair, one of the airline's planes crashed on takeoff from Madrid, resulting in more than 150 deaths.

Instituciones y empresarios catalanes firman la compra del 80% de Spanair

La nueva sociedad Iniciatives Empresarials Aeronàutiques (IEASA) ha adquirido la mayoría de las acciones de la compañía al grupo SAS que conserva el restante 20% | Spanair tendrá en Barcelona su nueva plataforma de crecimiento futuro, aprovechando el potencial de la nueva T-Sur

Barcelona.(EFE).- La nueva sociedad Iniciatives Empresarials Aeronàutiques (IEASA), participada por instituciones y empresarios catalanes, ha adquirido al grupo SAS el 80,1% de Spanair, compañía con destacada presencia en los aeropuertos de Madrid, Barcelona y Palma de Mallorca.

"La empresa compradora ha sido constituida recientemente para agrupar a los nuevos inversores de Spanair, compañía integrada en la red de aerolíneas Star Alliance", asegura la nueva empresa en un comunicado.

En el accionariado de Iniciatives Empresarials Aeronàutiques participan la firma de capital riesgo Catalana d'Iniciatives, el consorcio Turismo de Barcelona, Volcat 2009 -que agrupa a los empresarios vinculados a la asociación empresarial Femcat-, Fira de Barcelona, un grupo de empresarios hoteleros y del sector turístico catalán y otros empresarios del resto de España.

El acuerdo de compra se ha alcanzado antes de la finalización del plazo previsto (31 de enero), aunque en el comunicado se señala que "en las próximas semanas, se configurará la composición accionarial definitiva" de la empresa compradora, IEASA.

La adquisición implica, además, una ampliación de capital por un importe de 100 millones de euros que asumirán los nuevos socios de la compañía.

Por su parte, la compañía escandinava SAS mantiene una participación del 19,9% en el capital de Spanair y se hace cargo de la deuda anterior de la aerolínea, que a finales de 2008 sumaba 500 millones de euros.

La gestión operativa seguirá en manos de SAS
Desde Star Alliance, la red de aerolíneas en la que está integrada Spanair, su consejero delegado, Jaan Albrecht, asegura que "Star Alliance trabajará con su miembro, Spanair, en la mejora continua del 'hub' de Barcelona, facilitando la conectividad y aprovechando al máximo las nuevas instalaciones que estarán operativas en breve".

La gestión operativa de la nueva Spanair continuará a cargo del socio industrial -el grupo SAS- mediante un plan de negocio acordado con el accionista mayoritario, que nombrará el consejo de administración, presidente y primer ejecutivo de la compañía.

"Para lograr sus objetivos, la compañía redimensionará su capacidad en función de la demanda, reducirá la complejidad de las operaciones y mejorará su eficiencia, en paralelo a una reducción de los costes fijos", señala la nota emitida hoy.

En este sentido, cabe señalar que Spanair lleva ya varios meses aplicando un plan de reestructuración que ha supuesto la aplicación de un ERE para 775 trabajadores de la compañía, así como un ajuste en la flota, y reducción de las bases operativas y las rutas.

La nueva Spanair apostará por Barcelona Spanair tendrá en Barcelona su nueva plataforma de crecimiento futuro, aprovechando el potencial de la nueva T-Sur, también cancelará líneas deficitarias y reducirá costes a través de la simplificación y mejora en las operaciones y en la oferta.

Spanair consolidará su posición en las rutas actuales con una red propia rentable y con mayor componente internacional, al tiempo que explotará de manera eficiente sus mercados naturales de proximidad (Barcelona, Madrid y Baleares), así como el de Canarias.

El nuevo socio anuncia que la compañía potenciará las rutas con fuerte demanda de pasajeros de negocios durante los días laborables y las rutas con clientes de ocio en fines de semana y vacaciones.

Asimismo, se impulsarán los mercados de Barcelona, Madrid y Palma de Mallorca y la flota se irá renovando paulatinamente con Airbuses, con el consecuente ahorro de combustible y mantenimiento.

En 2008, la facturación de Spanair ha superado los 1.000 millones de euros, con más de 10 millones de pasajeros transportados, 48 aeronaves y 2.665 empleados a tiempo completo.

En la actualidad, los vuelos regulares representan el 76% de sus ingresos totales, los 'charter' el 16% y el transporte de carga el 8% restante.

Spanair es la segunda aerolínea española, por detrás de Iberia, con una cuota del mercado doméstico del 23% y una posición muy significativa en los aeropuertos de El Prat, Barajas y Son Sant Joan.

Se poi riusciranno a fare le cose per bene, é sicuramente una buona possibilitá, ma se é solo una manovra politica, fra 2/3 anni saremo di nuovo nella stessa situazione
 
Con la vendita della "bambina malata", Spanair, la SAS resulta anche piu appetibile come prodotto nello scenario di un eventuale take over da parte di Lufthansa...

-Non fare di Spanair una LowCost, ma piuttosto una compagnia dove la qualitá sará l'importante e che possa essere la prima compagnia su BCN e una valida alternativa per molti Spagnoli...

Non si parlava di nuove rotte, ma si un consolidamente delle esistenti

Nel frattempo il 2008 si é chiuso con una perdita di 158M€, situazione creata dall'incidente e dall'alto costo del combustibile nella stagione primaverile/estiva
