Air France-KLM chief faces dismissal

PARIS: The head of Air France-KLM Pierre-Henri Gourgeon will be dismissed on Monday, at an extraordinary general meeting of the airline, a source close to the dossier told AFP, confirming a press report.

"It's above all an internal problem between Mr Gourgeon and Jean-Cyril Spinetta," the chairman of the board of directors, said the source.

The source confirmed a report in the French economic daily Les Echos that Gourgeon was on the way out.

Air France declined to comment on the reports, saying only that an extraordinary board meeting would take place Monday at 4:00 pm (1400 GMT).

But according to sources close to the affair, Gourgeon will be replaced by Alexandre de Juniac, who ran Christine Lagarde's office when she was French finance minister before her move to head up the IMF.

Reports of Gourgeon's impending departure come only a few months after shareholders of the company voted in July to reappoint the 65-year-old as chief executive for another four-year term.

Later in July, the group reported a first quarter net loss of 197 million euros ($283 million) and warned that outlook was uncertain for the rest of the year.

Ma in realtà è da settimane che si parla di un avvicendamento al vertice prossimamente.

Mi sembra la conferma di qualcosa di già noto.
 
Ma il CEO (cioè chi guida la "baracca") non è Spinetta?Gourgeon dovrebbe essere il direttore generale
 
se in un azienda c'è il direttore generale è lui che guida la baracca, il CEO si occupa della componente di immagine, investore relation e commerciale.

per dirla in soldoni:
chi guida è sempre il personaggio che accentra tutte le funzioni e che sta più in basso in graduatoria, è lui che da gli ordini a quelli che stanno sotto ed è lui che fa da tramite tra l'azienda (dipendenti + management) e il CEO.
nei casi in cui ci sia un DG l'AD è sempre espressione diretta dell'azionariato ed è colui che trasferisce la volontà degli azionisti al DG e riceve i numeri indiatro dal DG.

giusto per fare un paragone vicinoa casa nostra .... chi comnanda AZ è Colaninno o Sabelli?
 
Spinetta è attualmente Chairman del gruppo, e rimarrà tale anche dopo.
Gourgeon è invece CEO dal 2009 (prendendo proprio il posto di Spinetta) e sarà sostituito da un 48enne di nome Juniac.


Air France-KLM Board Said to Plan Replacement of CEO Today

Oct. 17 (Bloomberg) -- Air France-KLM Group’s board will meet today to vote on ousting Chief Executive Officer Pierre- Henri Gourgeon and replacing him with Alexandre de Juniac, a former chief of staff to Christine Lagarde, according to two people with knowledge of the proposals.

Gourgeon, 65, who has been CEO since January 2009, was previously slated to stay in his position until January. Instead, he’ll leave the company within a short period of time, said the people, who declined to be identified because the change isn’t yet official.

Air France-KLM, Europe’s largest airline, has plunged 60 percent this year, the worst performance on the Bloomberg EMEA Airlines Index, as the carrier struggles with high fuel costs and sluggish business-class demand. The airline has also faced questions about pilot training after French safety regulators reviewing the 2009 crash of Air France 447 indicated insufficient pilot training was a contributing factor.

“Air France is in a delicate situation, and will be all the more so if the macro-economic situation gets worse,” said Yan Derocles, an Oddo Securities analyst in Paris who recommends buying the stock. “Gourgeon wasn’t particularly appreciated by investors and having new leadership could help build confidence and provide an electro-shock for the company.”

The shares rose as much as 21 cents, or 3.7 percent, to 5.73 euros and were up 2.5 percent to 5.66 euros as of 9:10 a.m. in Paris trading. The stock has dropped 59 percent this year, valuing the airline at 1.7 billion euros.

Financial Disappointment

Les Echos reported the board’s plan late yesterday, saying Gourgeon was told on Oct. 14 that he would be replaced. The newspaper attributed the decision to disappointment with the company’s financial performance.

Jean-Cyril Spinetta will stay on as chairman of the airline, the people said. Spinetta ran Air France for 11 years, from 1998 through the end of 2008, with Gourgeon as his deputy. An Air France spokeswoman confirmed the board will meet today and declined to comment on what will be discussed.

Juniac, 48, has served as an adviser to Finance Minister Francois Baroin since Lagarde stepped down in June to head the International Monetary Fund. Juniac has been cited as Gourgeon’s likely successor in French media reports since June.

Air France-KLM had operating losses in two of the last three fiscal years following 11 years of profitability on that basis under Spinetta.

The carrier has lately come under renewed pressure from investors and analysts to deepen cost cuts to achieve a more level footing with its biggest European competitors, Deutsche Lufthansa AG and British Airways Plc.

Gourgeon himself said at a briefing Sept. 9 that the airline was at a competitive disadvantage to rivals and needed action, though analysts including Derocles at Oddo Securities have criticized Air France-KLM for failing to introduce bigger cost-cutting targets.

PARIGI - Cambio a sorpresa al vertice del gruppo Air France-Klm. Secondo fonti vicine alla società, citati da numerosi media francesi, l’amministratore delegato Pierre-Henri Gourgeon sarà «ringraziato» e congedato oggi pomeriggio, dopo una riunione straordinaria del consiglio di amministrazione. Gourgeon dovrebbe essere rimpiazzato da un duo composto da Alexandre de Juniac, ex capo di gabinetto di Christine Lagarde al ministero dell’Economia, e da Jean-Cyril Spinetta, attuale presidente del consiglio di amministrazione e predecessore di Gourgeon.

L’addio anticipato di Gourgeon, che era stato riconfermato appena pochi mesi fa, sarebbe legato, secondo le stesse fonti, a dissapori con il presidente del gruppo, Jean-Cyril Spinetta, oltre che alle cattive performance borsistiche delle ultime settimane. Air France-Klm non ha voluto fare commenti, ma ha confermato una riunione del cda.

In attesa dell’uscita di Gourgeon il titolo Air France-Klm in buon rialzo a Parigi. Il titolo a metà mattina guadagna il 5,8% a 5,84 euro a fronte di un listino in progresso di quasi l’1%.

E no,in una azienda chi fa girare la "baracca" è l'amministratore delegato,cioè colui che è stato delegato a tale funzione.Il direttore generale, spesso è nominato per dirigere una divisione all'interno di una società, ma comunque rimane sempre sotto le dipendenze del ceo.Tu mi chiedi chi comanda in Alitalia?Chi si occupa di far funzionare l'azienda è sicuramente Sabelli,ma chi si occupa delle strategie è fuor di dubbio che sia Colaninno,anche perchè è colui che rappresenta gli azionisti(essendo azionista lui stesso).Inoltre non so se Colaninno sia Presidente esecutivo o no,se lo fosse ,l'amministratore delegato conterebbe meno di me.
 
Colaninno è presidente, Sabelli è AD.

A mio avviso chi ha sotto mano la gestione è il secondo.

The board of directors of Air France-KLM, which met today, has determined the orientations in relation to the organization and governance of Air France and of the Air France-KLM group, as well as to the appointment of its senior executives. The aim is to improve the group's operating and financial performance in a context of economic uncertainties affecting the European air traffic, as well as the position of Air France in respect of increased competition from new entrants.

In the current economic context, top priority must be given to the recovery and improvement of the performance of Air France and of KLM, which must call up all reflection and energy in order to better address these challenges. Consequently, the setting-up of a full-dedicated Air France-KLM holding, which was to be implemented at the beginning of 2012, has been put off to 2013.

In these circumstances, Pierre-Henri Gourgeon has resigned from his duties as Chief Executive Officer of Air France and Air France-KLM. The Board of Directors has paid tribute to the action that he took with courage and to the numerous measures efficiently implemented within difficult conditions since he took up his duties on January 1, 2009.

In order to address the situation, the principle of sole leadership is essential, both within Air France and the Air France-KLM group.

Therefore, the Appointment Committee of Air France-KLM has put forward to the Board of Directors of Air France-KLM, which approved it, the candidacy of Alexandre de Juniac to the duties of Chairman and Chief Executive Officer of Air France; this appointment will be subject to the approval of the Board of Directors of Air France and will become effective after the opinion of the ethics committee (Commission de déontologie) provided by the law of January 29, 1993.

Alexandre de Juniac, surrounded by an experienced and younger team including Alain Bassil, Frédéric Gagey, Bruno Matheu and Florence Parly, will submit to the boards of directors of Air France and of Air France-KLM the measures aiming at improving the performance of Air France, and will be responsible for following-up such measures over time.

During the period prior to the setting-up of the Air France-KLM fully dedicated holding, Jean-Cyril Spinetta and Leo Van Wijk, who presided the setting up of the Air France-KLM group, will be in charge of its strategic coordination. Jean-Cyril Spinetta, Chairman of the Board of Directors of the Air France-KLM group, has been appointed as Chairman and Chief Executive Officer of the Air France-KLM group. He has suggested to the Board of Directors, who has accepted it, that Leo Van Wijk be appointed as Deputy Chief Executive Officer of the Air France-KLM group. Philippe Calavia will continue to be in charge of the financial management of the Air France-KLM group.

A capo della parte francese del gruppo Alexandre de Juniac Milano, 17 ott - Il numero uno di Air France-Klm, Pierre-Henri Gourgeon, ha dato le dimissioni dalle sue funzioni in seguito alla riunione di un consiglio di amministrazione straordinario. Il manager sara' sostituito dal presidente del Cda, Jean-Cyril Spinetta (che e' stato in passato a.d. per 12 anni), affiancato dall'olandese Leo Van Wijk. L'ex capo di gabinetto del ministro Christine Lagarde, Alexandre de Juniac, prendera' le funzioni lasciate da Gourgeon alla guida della sola Air France, uno dei due componenti del gruppo aereo franco-olandese. Le Conseil d’administration d’Air France, réuni le 16 novembre 2011, a approuvé la nomination d’Alexandre de Juniac au poste de Président-Directeur général d’Air France. Cette nomination prend effet immédiatement.

Jean-Cyril Spinetta, Président-Directeur général du groupe Air France-KLM, démissionne de ses fonctions de Président-Directeur général d’Air France, qu’il occupait par intérim depuis le 17 octobre 2011, et de ses fonctions d’administrateur d’Air France.

Né le 10 novembre 1962, Alexandre de Juniac est diplômé de l’école Polytechnique de Paris et de l’Ecole Nationale de l’Administration (1988, promotion « Michel de Montaigne »).

Au cours de sa carrière, il a occupé les postes suivants :
