Continental Airlines formally sought permission from the US government on Wednesday to join the Star Alliance.

In a filing with the Transportation Department, the group also sought immunity from antitrust restrictions on scheduling, fares and service.

Joining Star and executing a separate domestic code share with United would strengthen the alliance's East Coast presence with US Airways in Philadelphia, Washington Reagan National, and Charlotte, United at Washington Dulles and Continental in Newark.

The move for an alliance comes after Continental this spring opted against a merger with United, which subsequently decided not to merge with US Airways.

Continental chose to exit the SkyTeam alliance after Delta Air Lines and Northwest Airlines proposed their merger this spring. Those carriers hope to close the deal by year's end, pending antitrust approval.

United, Continental to Form Alliance to Share Flights (Update3)

By Mary Schlangenstein and Mary Jane Credeur

June 19 (Bloomberg) -- UAL Corp.'s United Airlines and Continental Airlines Inc. will form an alliance to book seats on each other's planes and create joint ventures for overseas flights. Their shares surged the most since January.

Continental also will join United's Star marketing alliance and seek approval to set international fares and schedules with carriers including Deutsche Lufthansa AG, the airlines said in a statement today. Continental will leave the SkyTeam alliance.

The accord brings together two airlines that couldn't agree on a merger in April. United, the second-biggest U.S. carrier, and No. 4 Continental may get most of the benefits of a tie-up while skipping the struggle of meshing labor groups and fleets.

``Alliances can work better than mergers in raising revenues and reducing costs without the integration, regulatory and labor headaches,'' Jim Corridore, a Standard & Poor's analyst in New York, said in a note to investors. He rates UAL as ``buy'' and Continental as ``strong buy.''

The alliance agreement grew out of merger talks between the two airlines that ended when Houston-based Continental said on April 27 it preferred to remain independent. Continental said then it might exit SkyTeam, whose members include merger partners Delta Air Lines Inc. and Northwest Airlines Corp.

Shares Advance

UAL climbed $1.56, or 24 percent, to $8.11 at 4 p.m. New York time in Nasdaq Stock Market composite trading for the biggest jump since Jan. 10. Continental rose $2.15, or 16 percent, to $15.59.

The advance by Chicago-based UAL led gains among all 14 carriers in the Bloomberg U.S. Airlines Index. The index was up 9.6 percent, also the most since Jan. 10. UAL is this year's worst performer in the index, tumbling 77 percent. Continental has plunged 30 percent.

Under the agreement, passengers will be able to earn and redeem frequent-flier miles on both carriers, and use the airlines' airport lounges. The first overseas joint venture would involve trans-Atlantic flights among Continental, United, Lufthansa and Air Canada.

Both carriers would get access to more international travelers, who pay the highest fares. Continental now generates about half its revenue from flights outside the U.S.

`Strong Position'

``Continental has a strong position in the Atlantic out of Newark and they're very strong out of Houston to Latin America,'' said Michael Roach of consulting firm Roach & Sbarra in San Francisco. ``Those are both weak spots for United. United's and Continental's domestic routes fit together pretty well.''

Continental began considering a switch out of SkyTeam after Delta and Northwest won approval in April to cooperate on international flights in the alliance and then announced plans to merge. Continental also was wooed by AMR Corp.'s American Airlines and British Airways Plc to join the Oneworld alliance.

United and Continental also plan to cooperate on some purchasing, information technology and facility use, the airlines said. Continental will leave SkyTeam as soon as it ends contracts with the group. The Star alliance said the process may take a year.

``There is significant value gained from linking with larger networks to provide truly national coverage and expanded global reach,'' Continental Chief Executive Officer Larry Kellner said in the statement.

Airlines are considering mergers and expanded alliances as they seek to cut costs and boost revenue to blunt a 77 percent jump in jet-fuel prices during the past year. The Air Transport Association projects that U.S. carriers may post combined losses of as much as $13 billion this year.

Regulatory Approval

Continental and United would have to win U.S. Transportation Department approval before being allowed to coordinate international flight schedules and pricing. United already has such approval for flights with Lufthansa and Air Canada.

Among U.S. carriers, only Delta and Northwest have secured U.S. authority to collaborate on international flights. They're working with SkyTeam partners Air France-KLM, Europe's largest carrier; Italy's Alitalia SpA; and Ceske Aerolinie AS, the Czech Republic's state-owned airline.

US Airways Group Inc., the only other U.S.-based member of Star, said it hasn't yet had talks with Continental on joint marketing or other relationships. The alliance also includes Air China, Air New Zealand, LOT Polish Airlines, Scandinavian Airlines and TAP Portugal.

Dear TW843,

In June 2008, Continental announced plans for extensive commercial cooperation with United Airlines and Star Alliance, linking our networks and services worldwide to deliver new benefits to our customers. We pledged to keep you informed of developments and would like to provide you an update.

Regarding SkyTeam, Continental intends to end its participation in the SkyTeam Alliance after the last scheduled flight on Oct. 24, 2009.

We continue to work through the details of our planned exit from SkyTeam and entry into Star Alliance, but anticipate our participation in Star Alliance will begin promptly after we leave SkyTeam. We are committed to providing our OnePass members with opportunities to earn and redeem miles over an extensive network.

We will be working hard with our good partners at SkyTeam, and our future good partners at Star, to make the transition from SkyTeam to Star Alliance as smooth as possible.

You can expect to receive updates from us as we continue to develop our participation in Star Alliance. Remember the most current updates may be found at continental.com.

As always, many thanks for flying Continental. We appreciate your business.

Sincerely,

Mark Bergsrud
Sr. Vice President, Marketing Programs and Distribution

Come previsto...... con la winter 09/10 terminano i C/S della Continetal con SkyTeam.... esattamente come dovrebbero terminare per la stessa data i C/S di AirOne con StarAlliance......

Staremo a vedere.....
