Polish carrier LOT to buy German airline Condor - sources

BERLIN (Reuters) - Polish carrier LOT is buying German airline Condor, which used to belong to Thomas Cook, three sources familiar with the matter said on Friday.
Condor and LOT declined to comment.

Earlier on Friday, Condor - which competes with Lufthansa (LHAG.DE) and TUI fly (TUIGn.DE) - announced it would hold a news conference at 1000 GMT to present its new owner.
Last week, a person close to the matter said Condor had attracted interest from buyout groups Apollo (APO.N) and Greybull as well as LOT, which had been expected to submit final bids this week.

Unlike Thomas Cook, which collapsed last year, Condor received a lifeline from Germany in the form of a 380 million euro (321.06 million pounds) bridging loan and filed for investor protection proceedings, which requires that a company is not yet insolvent and can be saved.
As it seeks to cut costs, Condor last week struck a deal with its flight attendants on plans to cut 150 of its 2,400 cabin jobs. That followed an earlier deal to cut 170 jobs in overhead operations.

Si sa per che cifra ? Immagino sia indicato nell'articolo in tedesco che però non mastico ...
Non sono state fornite cifre durante la conferenza stampa, solo l'indicazione che la cifra pagata sarà "più che sufficiente" per restituire il prestito statale di 380 milioni di euro concesso a Condor entro il 15 aprile.

In quanto, meno di 6 mesi?
Qui i culoni inchiavabili sono solo quelli dei nostri politici...

Mi chiedo che interesse strategico abbia Lot a comprare Condor che è una leisure airline che vola sul medio e lungo raggio verso destinazioni turistico balneari. La flotta di lungo raggio è costituita da 767 vetusti mentre l'unico asset interessante sono gli slot a FRA.

LOT and Condor to merge

German carrier Condor is to be taken over by the owner of LOT Polish Airlines.
Condor, formerly a subsidiary of Thomas Cook Group, says its merger with LOT within Polska Grupa Lotnicza (PGL) will create "one of the leading aviation groups in Europe".
Under its new ownership, it adds, Condor will "focus on further growth in Germany and neighboring markets" and become "the central pillar of the PGL tourism strategy and thus one of the leading European holiday airlines".
The management team will remain in place and Condor will also retain its brand, while benefiting from "enhanced connectivity and operational synergies", it says.
A bridging loan provided by German bank KfW – and guaranteed by the German federal government and the state of Hesse – will be repaid in full, says Condor.
Rafal Milczarski, chief executive of PGL as well as LOT, states that the Condor takeover "fits perfectly" with the Polish group's strategy. The deal "secures the future of Condor" and "offers its employees, customers and partners stability and a great perspective", he adds.
He indicates that the new owners will develop the Condor brand in Germany and also "introduce it to other European markets".
Condor chief Ralf Teckentrup describes PGL and LOT as "stable, experienced and dynamically developing partners" and reassures customers that they can "safely plan their vacation flights with Condor".
The merged airlines will have annual passenger numbers in excess of 20 million, says Condor, which expects the transaction to be completed in April once antitrust approvals have been secured and the German carrier has completed the "protective shield procedure" begun following the demise of Thomas Cook.
PGL has an 80-strong fleet, including 15 Boeing 787s, and generated turnover of around €1.9 billion ($2.1 billion) in 2019. Condor, which Cirium fleets data lists as having 55 aircraft in service, meanwhile notched sales of €1.7 billion last year, making an operating profit of €57 million.
Lazard and Pekao acted as investment banks, and White & Case as legal adviser, to PGL. Rothschild & Co was Condor's investment bank, and Noerr its legal adviser. Cirium

Ci vorranno diversi mesi prima di concludere tutto il processo di acquisizione, per ora ci sono parole, come la promessa di acquistare 20 nuovi aerei a lungo raggio e di espandere l'azione di Condor verso l'est europa.

Leggendo i vari forum tedeschi, sono tre i principali argomenti di discussione:
* Lufthansa vs LOT: sono tutte e due in Star, LOT fa parte di M/M, Condor viene alimentata da Lufthansa. Come potrebbe evolvere la situazione?
Lufthansa vede questa acquisizione come un attacco al suo mercato nazionale e quindi ci sarà qualche tipo di divorzio o le due compagnie continueranno a collaborare?
* attacco alla "germanità". Ad alcuni non va giù che i polacchi comprino una parte dell'aviazione tedesca. Ovviamente altri rispondono che I) Thomas Cook era un'entità anglo-tedesca con sede in Inghilterra II) Lufthansa ha comprato mezza europa, ed è giusto che ci sia un mercato unico e quindi anche i polacchi possano fare acquisizioni come Lufthansa ha fatto con Swissair, Austrian e Brussels airlines.
* Polish Aviation Group è controllata al 100% dallo stato polacco, sta cosa ovviamente puzza, sia a livello di concorrenza, sia a livello politico (alcuni vedono questa mossa come una dichiarazione politica del governo polacco)

Di questi tempi i 787 li tirano dietro (per consegne 2021-2023), i motori RR probabilmente anche.

Rimane da capire quale sia il disegno strategico di LOT: espansione a Budapest che probabilmente è pesantemente sovvenzionata dagli ungheresi (quanto può durare?), e ora espansione anche in Germania. Condor ha un buon marchio in Germania e - sul lungo raggio - copre destinazioni molto interessanti: si è ritagliata un bello spazio nel Nordovest del continente americano - area molto apprezzata dai tedeschi per la stagione estiva; e la collaborazione con LH su SEA e LAS sicuramente produce buoni risultati.

Dal mio punto di vista la spiegazione più logica è che LOT si stia muovendo come proxy di LH: il gruppo LH avrebbe non pochi problemi con l'antitrust per acquistare Condor. Lasciare la mano ai polacchi consente al vettore tedesco di mantenere Condor come partner laddove serve (partner M&M, code share su varie rotte), forse prendere in prestito qualche slot, mantenere il quasi-monopolio in Germania e forse persino pilotare la crescita di Condor verso destinazioni il cui yield è troppo basso per LH Mainline ma che il gruppo vorrebbe raggiungere.

Trovo inverosimile che LOT si stia muovendo senza l'approvazione di LH: senza M&M LOT sarebbe fallita già da un po'. Col controllo di Condor, LOT può sperare di aumentare alcune economie di scala e i propri ricavi da uno dei mercati più pregiati d'Europa: in un certo senso mi pare che LOT+Condor diventino una nuova declinazione del modello Eurowings abbandonato qualche mese fa.

BERLIN/MUNICH: The German government stands ready to take over Condor as a deal for the airline to be bought by Polish rival LOT is likely to collapse in the industry turmoil caused by the coronavirus crisis, several people familiar with the matter told Reuters.

LOT agreed in January to buy Condor for about 300 million euros (US$328 million) to create a leading European aviation group with more than 20 million passengers a year.

But with planes unable to fly because of travel restrictions, compounded by a plunge in demand over fears of contagion, airlines worldwide have grounded most of their fleets, and many have said they need government support to survive.

Last week, airlines urged governments to speed up bailouts to rescue the air transport industry, as they doubled their estimate of 2020 revenue losses from the health crisis to more than US$250 billion.

LOT owner PGL has made completion of its takeover deal contingent on certain financial guarantees that the German government considers unacceptable, the sources said, adding no final decision on Condor's immediate future had been taken.

"LOT has some issues with the deal financing", one of the people said, while another said a government decision could come as early as this week.

Condor said it was in talks with all parties involved and no decision had been made yet, declining to comment further. PGL and the German economy ministry declined to comment.

Nationalising Condor would only be for a limited time as Germany aims to restart a sales process as soon as the stranglehold on the travel industry from the coronavirus pandemic has eased, the sources said.

Condor is a former unit of Thomas Cook, the holiday company that collapsed in September. A 380 million euro (US$415 million) state bridging loan allowed the carrier to be rescued.

Last week, Condor applied for an additional 200 million euros in state aid in the wake of the coronavirus outbreak, according to people familiar with the matter.

Berlino, 21 apr 14:00 - (Agenzia Nova) - Dopo la mancata acquisizione da parte della compagnia di bandiera polacca Lot, la concorrente tedesca Condor, già controllata dall'operatore turistico britannico Thomas Cook fallito a settembre del 2019, otterrà ulteriori aiuti dal governo federale. È quanto riferisce il quotidiano “Frankfurter Allgemeine Zeitung”, che cita fonti informate sui fatti. Per garantire la sopravvivenza di Condor, verrà rinnovato il prestito ponte da 380 milioni di euro, erogato a favore della società dalla banca statale Istituto di credito per la ricostruzione (Kfw) e scaduto il 15 aprile scorso. Inoltre, la compagnia aerea riceverà dal governo federale circa 200 milioni di euro in liquidità. Condor inizia il rinnovo della flotta a lungo raggio e ordina 16 A330-900: consegne a partire da fine 2022.

Condor (DE, Frankfurt Int'l) has ordered sixteen A330-900s to renew its widebody fleet, with the first aircraft expected to deliver from autumn 2022 and all sixteen by mid-2024.

A spokeswoman for the German leisure carrier told ch-aviation seven aircraft have been bought and financed while the other nine will be leased through several lessors.

The A330neo will be configured with a three-class layout, including business, premium economy, and economy cabins. Condor did not, however, provide any further details concerning exact seating capacity.

According to the ch-aviation fleets advanced module, Condor's current widebody fleet comprises fifteen B767-300(ER)s, which are 25.8 years old on average. The airline owns one of the aircraft and dry leases the remaining fourteen from Castlelake (eight), AerCap (three), GECAS (two), and Fortress Ireland Leasing (one). The airline also operates twelve A320-200s, ten A321-200s, and thirteen B757-300s.

Condor has identified fleet renewal as one of its most pressing issues when looking for a new investor following the collapse of former parent Thomas Cook Group in September 2019. Initially, the required capital injection was due to come from the Polish Aviation Group - PGL, the state-owned parent of LOT Polish Airlines, which agreed to buy Condor in January 2020. However, the deal subsequently fell through due to the impact of the COVID-19 pandemic. Eventually, UK private equity firm Attestor Capital signed a deal to acquire a 51% stake in Condor in May 2021. The new majority owner said it would spearhead a rapid fleet renewal drive for the airline.

Ho come l'impressione che questo ordine ad Airbus fatto in questo momento abbia spuntato dei prezzi da discount. Comunque complimenti a Condor una compagnia leisure che configura gli aerei a 3 classi con tanto di business non è da poco.
