Air Canada reaches deal to acquire Air Transat parent

Air Canada has reached a definitive agreement to acquire Air Transat's parent, with an unanimous vote in favour of the deal by Transat's board.
Air Canada's cash purchase of outstanding Transat stock at C$13 ($9.90) per share is estimated at C$520 million and still requires approval from regulators and shareholders. The two companies expect to close the deal in "early 2020".
"Travellers will benefit from the merged companies' enhanced capabilities in the highly competitive, global leisure travel market and from access to new destinations, more connecting traffic and increased frequencies," says Air Canada chief executive Calin Rovinescu.
Quebec-based real estate developer Group Mach had also made a formal bid on 13 June to acquire Transat AT at a price of C$14 per share. The tourism company's business strategy through 2022 has been to invest in its hotels in the Caribbean and Mexico. This includes the purchase of land near Cancun with the aim of opening a new resort there in 2020. Transat offers vacation packages, hotel stays and air travel for 60 destinations in the Americas and Europe. The deal would give Air Canada Rouge a chance to counter WestJet tourism packages and help the mainline Air Canadaexpand its global network.
Air Transat in May took delivery of the first of 15 Airbus A321LRs as part of its fleet renewal programme to replace older aircraft including six A310s it has in service. The A321LRs will be deployed on its longer international flights to Europe and the Caribbean, along with Central and South America.
Transat decided on Air Canada's proposal at the advice of a special committee of independent directors it formed to evaluate the bid formally submitted in May. Air Canada has retained Morgan Stanley as its financial advisor and Stikeman Elliott LLP as its legal advisor. Transat has retained National Bank Financial as financial advisor and Fasken as legal advisor. FG

Air Transat introduce i voli diretti Roma-Toronto anche d'inverno

La compagnia punta sempre di più sull’hub di Fiumicino, che lo scorso anno ha visto viaggiare 520mila passeggeri tra Roma e il Canada

Dal 1 novembre 2019 al 10 gennaio 2020 la compagnia aerea canadese Air Transat introdurrà 2 nuovi voli diretti da Roma a Toronto, in partenza ogni venerdì e domenica dall’aeroporto di Fiumicino.
I voli Roma-Toronto verranno operati, per la 1° volta nella stagione invernale, con Airbus A330-300 configurati in due classi di servizio (economy e club), e a completare l’operativo invernale saranno anche disponibili due voli in connessione Roma-Montrèal via Toronto, dal 1 novembre fino al 14 dicembre 2019.
“A distanza di 31 anni Fiumicino si conferma l’hub centrale in Italia per Air Transat e siamo orgogliosi di poter offrire da quest’anno collegamenti anche in inverno verso il Canada- ha detto Tiziana Della Serra, sales & marketing director di Air Transat in Italia, nel corso della presentazione dei nuovi collegamenti che si è tenuta questa mattina a Roma- sono stati allocati 20mila posti con un incremento del 120% rispetto al 2018 e possiamo già anticipare che sulla summer riconfermeremo i 13 voli diretti da Roma, 7 verso Toronto e 6 verso Montrèal. L’Italia è attualmente la 3° meta in Europa per i canadesi e Air Transat conferma oggi il ruolo di solido ponte tra i due mercati”.
Lo sviluppo è importante anche per Aeroporti di Roma: “Estendere l’offerta di collegamenti diretti verso il Canada ci consentirà di destagionalizzare i flussi rispetto al picco estivo e di offrire al mercato un prodotto stabile su gran parte dell’anno- il commento di Federico Scriboni, head of airline traffic development di Adr- nei mesi autunnali Roma sta diventando sempre più attrattiva e la scommessa sarà ora quella di rendere attrattivo anche l’inverno canadese, anche con l’offerta di pacchetti dedicati alle festività natalizie”.
La città di Toronto è un centro multiculturale che coniuga arte, cultura e divertimento e anche in inverno è tutta da scoprire, con musei, festival e un ricco calendario di eventi che animano la città. Si può pattinare sul ghiaccio a Nathan Philips Square tra musica e luci scintillanti o visitare la CN Tower, tra le più alte al mondo con i suoi 553 metri di altezza affacciata sul lago Ontario. A soli 130 km da Toronto ci sono le cascate del Niagara ghiacciate che offrono spettacoli unici e ancora, ad un paio d’ore di auto si possono raggiungere località ideali anche per lo sci.
Alla presentazione dei nuovi voli diretti su Toronto è intervenuta anche l’ambasciatrice del Canada in Italia, Alexandra Bugailiskis, che ha commentato. “Il milione di visite che si registra ogni anno, sta rendendo sempre più profondo il legame tra i nostri due Paesi- ha detto- gli italiani ora potranno finalmente scoprire gli inverni canadesi, freddi ma affascinanti, e i cittadini canadesi la bellezza di Roma e dell’Italia intera”.
Nel 2018 sono stati 520mila i passeggeri tra Roma e il Canada, in crescita dell’11% rispetto al 2017 e anche sull’anno in corso stiamo crescendo del 9%
Air Transat, che lavora a un continuo sviluppo dei servizi di bordo e che nel 2019 è stata eletta da Skytrax come "miglior compagnia aerea al mondo" per i viaggi vacanze, nel 2015 fu la prima compagnia in Nord America a introdurre in flotta l’Airbus A321 Long Range; entro il 2021 ne conterà 15. Air Canada looking to quit Transat deal: reports

French-language media in Canada report that legacy carrier Air Canada is looking to exit its planned takeover of Transat AT, the parent company of Air Transat, as Canada’s biggest airline attempts to manage through the coronavirus crisis while preserving its liquidity.
Neither Air Canada nor Transat would comment on the news reports, which first appeared in the French-language daily Journal de Montreal on 2 June. The story cites three sources that say Air Canada is lobbying the Canadian government to block the deal.
Montreal-headquartered Air Canada on 2 June denied that recent meetings with the government had anything to do with the Transat tie-up.
“All meetings registered by Air Canada with government ministers relate to the impact of Covid-19, not the Transat acquisition,” a spokesperson tells FlightGlobal.
When asked specifically about the merger, and the coronavirus’ effects on the company’s strategy regarding Transat, he adds, “There is no change to what we have said previously, which is we are awaiting the outcome of the regulatory review process.”
Transat is the parent company of vacation specialist carrier Air Transat, the number three airline in Canada behind Air Canada and Calgary-based WestJet, and operates a sizable vacation package business.
Last August, Transat’s shareholders voted overwhelmingly in favour of Air Canada’s C$720 million ($513 million) takeover bid for the company. That calculates out to C$18 per share. Both entities had said they had expected the transaction to close in the second quarter of 2020, but as time went on that looked less and less likely.
On 2 June Transat’s stock was trading at just C$6.40 per share, making the deal look severely overvalued.
But the transaction has been under close scrutiny for months. In March, the Competition Bureau of the government of Canada had “competition concerns” about the planned takeover, which, it said at the time, could be detrimental to Canadian travelers going to sun destinations as well as Europe.
The merger also faces closer examination in Europe, and the European Commission said last week that it is opening an in-depth investigation into the proposed acquisition, which will take up to 90 days.
The transaction as planned would merge the number one and number three airlines in the Canadian market. Earlier this year, WestJet, the country’s second-largest carrier, said it was “watching with great interest” to see if the deal would be approved.

Transat to resume flights and tour operations on July 23

MONTREAL — After months of being grounded due to the global pandemic, Transat is set to resume both its flights and tour activities starting July 23, 2020.

Its new flight schedule will include 22 destinations in Europe, the South, the United States and Canada until Oct. 31, 2020. During this period, South and Europe packages will be available, with Transat’s network of travel agencies gradually reopening starting June 15.

“After these long months that put the entire tourism industry to the test, we are very happy to announce today the resumption of our operations,” says Annick Guérard, Chief Operating Officer of Transat. “We will gradually operate a flight schedule with 23 international routes to Europe, the South and the United States, in addition to a domestic flight schedule between major Canadian cities.”

In preparation of the resumption of operations, Transat has launched its Traveller Care program, which includes new health measures throughout the traveller experience, from the travel agency to the airport to onboard and even in destination.

Here is an overview:

SUMMER 2020 FLIGHTS

From Montreal, Air Transat will gradually operate direct flights to: Athens, Greece; Bordeaux, France; Lisbon, Portugal; Lyon, France; Nantes, France; Marseille, France; Paris, France; and Toulouse, France.

Travellers from Toronto will benefit from direct flights to: Athens, Greece; Glasgow, Scotland; London, England; Manchester, England; Porto, Portugal; and Rome, Italy.

For those wishing to fly south, Air Transat will offer direct flights from both Montreal and Toronto to: Cayo Coco, Cuba; Cancun, Mexico; Fort Lauderdale, Florida; and Punta Cana, Dominican Republic. There will also be one direct flight a week to Port-au-Prince, Haiti from Montreal.

As for domestic routes, flights will operate between Montreal, Toronto, Calgary and Vancouver.

Depending on demand and the easing of regulatory restrictions, Air Transat may enhance its flight schedule for the months of September and October.

FLEXIBLE POLICIES

Customers who booked before March 4, 2020 can change their travel dates, destination or package at no charge up to seven days before departure. If they prefer to cancel their trips instead, they will be able to obtain a travel credit valid for 24 months.

Customers who booked on or after March 4 (the date Transat launched its ‘Book with peace of mind’ policy) can make the same changes at no charge up to 24 hours before departure. If they prefer to cancel their trips instead, they will be able to obtain a travel credit valid for 12 months.

Passengers whose fare types allow for modification or cancellation will be able to benefit from those conditions if they wish to change or cancel a flight scheduled to operate this summer.

TEMPORARY SUSPENSIONS

Due to the ongoing impact of COVID-19, Transat is extending the suspension of some flights, significantly reducing its capacity and completely cancelling certain routes for the summer 2020 season.

Until the end of the summer season, the airline is suspending the following:

EUROPE: Amsterdam, Basel-Mulhouse, Barcelona, Brussels, Copenhagen, Dublin, Faro, Lamezia, Madrid, Malaga, Nice, Prague, Venice and Zagreb.

THE SOUTH: Cayo Largo, Holguin, Montego Bay, Puerto Plata, Puerto Vallarta, Roatan, Santa Clara, Samana and Varadero

UNITED STATES: New Orleans, Orlando and San Diego

Air Transat is also suspending all its direct flights to Europe and the South from Vancouver and Quebec City.

Customers affected by these cancellations will receive a travel credit for the value of the amount received on file, which they can use within 24 months of their original return dates.

TRAVELLER CARE PROGRAM

Based on the recommendations of regulatory authorities, the following protocols will be implemented:

TRAVEL AGENCIES: Clients will be encouraged to make an appointment before presenting themselves at a branch; there will be a limit of one client per consultation; and Plexiglas partitions will be installed at travel agents’ desks.

AIRPORTS: To limit the risk of spreading the virus, certain measures will be implemented at the airport. Among these, passengers will be asked health-related questions, and counters and self-service kiosks will be regularly disinfected.

ONBOARD: Frequently touched cabin surfaces will be thoroughly cleaned with hospital-grade disinfectant before each flight, and the aircraft will be thoroughly cleaned with electrostatic disinfectant every 24 hours. Passengers will receive a complimentary Traveller Care kit (including a face covering, gloves, hand sanitizer and disinfecting wipes). Passengers and crew will be required to wear face coverings throughout the flight. Inflight service will be revised to reduce handling and contact. In addition, onboard all Air Transat aircraft, passengers can count on reliable HEPA (High Efficiency Particulate Air) filters, which eliminate 99.995% of small particles, such as bacteria and viruses, refreshing cabin air every three minutes.

AT DESTINATION: Reinforced preventive measures during transfers and excursions will be put in place for customers who have purchased a South or Europe package. In addition, Transat’s hotel partners will be implementing rigorous health and safety protocols so that travellers can enjoy their vacations with complete peace of mind. To provide support at destination, Transat representatives will be available at all times, by phone or via the Air Transat app.
